1) Manage the company’s compliance activities
2) Maintain a robust compliance program as related to corporate governance best
practices and disclosures, disclosure controls and procedures, internal control
over financial reporting and compliance
3) Manage the company’s compliance efforts with respect to legislative and
regulatory developments affecting corporate governance
4) Ensure compliance with all governance rules and procedures internally
5) Serve as Corporate Secretary to the Corporate Governance & Nominating
Committee
6) Work closely with the Committee Chair and coordinate and administer the
activities of the committee
7) Manage the company’s compliance efforts with respect to disclosure controls
and procedures and internal control over financial reporting (Bill 198 and
Sarbanes Oxley Section 404 requirements)
8) Monitor the ongoing design and operating effectiveness of the associated
controls and procedures internally
9) Serve as Corporate Secretary to the Disclosure Policy and Assessment
Committee
10) Manage the company’s quarterly, annual and other financial certification and
filing requirements
Requirements
1) Bachelor’s degree or equivalent
2) Compliance function or internal audit experience
3) Experience in an accounting role (preferred)
4) Excellent oral and written communication skills
